These Terms of Service ("Terms") govern your access to and use of Grishya™, including its sub-domains and the private communities hosted on the Platform ("Communities"), websites, web-based portals, mobile or desktop applications, browser extensions, plugins, and other tools accessed through mobile or web (collectively, the "Platform" or "Website"), operated by Shodash Labs™ Inc ("Grishya", "we", "us", or "our").
By accessing or using the Platform, you agree to be bound by these Terms and our Privacy Policy. If you do not agree with any part of these Terms, please discontinue using the Platform immediately.
1.1 Community Platform
Grishya is a platform where creators build and manage private communities. Community Owners manage their community's members, content, and offerings. Users who join a community become Members of that community. Members can participate in community content, discussions, and offerings.
1.2 Community Owners
Individuals or organizations that create communities on the Platform ("Community Owners" or "Owners") manage their community's membership, content, and offerings. Owners determine their community's content, structure, and delivery.
1.3 Platform Role
The Platform acts as a facilitator and technology provider, enabling community interaction and content sharing. Grishya does not control or guarantee the content, methodology, or outcomes of any community's offerings. Community Owners are solely responsible for compliance with applicable laws, including data protection and intellectual property.
1.4 Platform Access to Content
While each Community Owner controls their community's membership, content, and offerings, Grishya retains access to all content and data hosted on the Platform for the purpose of operating and improving platform-wide features and services, including through the use of third-party services such as artificial intelligence providers.
2. Eligibility and User Representations
2.1 General Representations
To use the Platform, you represent and warrant that:
- You are legally competent to enter a binding contract, or you have the consent of a parent or legal guardian who agrees to be bound by these Terms on your behalf.
- All information provided during registration is accurate, complete, and up to date.
- Your use of the Platform complies with applicable laws and regulations.
2.2 Age Requirements
By creating an account, you represent that you are at least thirteen (13) years old. If you are between thirteen (13) and eighteen (18) years old (or the age of majority in your jurisdiction), you further represent that a parent or legal guardian has reviewed and consented to these Terms on your behalf. Children under thirteen (13) may not create their own accounts on the Platform. Grishya does not collect date-of-birth information; this requirement is satisfied by your representation, not by age verification.
2.3 Minors in Communities
A Community Owner may permit participation by students under thirteen (13) only where the Owner has obtained any parental or school consent required by applicable law and manages that participation through the Owner's own account. Such students do not register their own accounts. Community Owners are responsible for compliance with laws governing minors within their communities, as further described in Section 6.
2.4 Actual Knowledge
If Grishya learns that a person under thirteen (13) has created an account without the consent path described above, Grishya will terminate the account and delete any personal information it knows to be associated with that person. Grishya may suspend or terminate access if eligibility criteria are not met or false information is provided.
3. Accounts and Registration
3.1 Community Owner Accounts
- Community Owners must create accounts to manage their communities and content.
- Credentials are for authorized personnel only and must be safeguarded.
- Community Owners are responsible for all activity via their accounts.
- Unauthorized access must be reported promptly.
- Grishya may suspend or terminate accounts for violations or security risks.
3.2 User Accounts
- Users must maintain confidentiality of credentials.
- Users are responsible for all activity under their accounts.
- Unauthorized use must be reported promptly.
- Grishya may suspend or terminate accounts for misuse or violation of these Terms.
4. Data Collection and Processing
- Data is collected and processed as described in the Privacy Policy.
- Personal Data shared with Community Owners is under their control; Grishya is not responsible for independent processing.
- Data collected by Grishya is used solely to operate the Platform, facilitate community engagement, provide services, and ensure security.
- Data retention is limited to the period necessary to provide services or comply with legal obligations.
5. Acceptable Use Policy
All Users, including Community Owners and Members, agree to use the Platform responsibly and in compliance with applicable laws. The following conduct is strictly prohibited:
5.1 Prohibited Content
- Child sexual abuse material (CSAM) or any sexualization of minors. Any such content will be removed immediately, the account permanently banned, and the matter reported to the National Center for Missing & Exploited Children (NCMEC) and relevant law enforcement authorities as required by law.
- Content that promotes or incites violence, terrorism, or self-harm.
- Hate speech — content that attacks, threatens, or dehumanizes individuals or groups based on race, ethnicity, national origin, religion, sex, gender identity, sexual orientation, disability, or other protected characteristics.
- Harassment, bullying, stalking, doxxing, or intimidation of any kind.
- Non-consensual intimate imagery or sexual exploitation.
- Fraudulent, deceptive, or misleading content, including scams, pyramid schemes, and phishing.
- Content that infringes intellectual property rights, including unauthorized use of copyrighted material or trademarks.
- Pornographic or obscene material, except where a community has been explicitly designated for adult content and complies with all applicable laws.
- Content that violates any applicable law or regulation.
5.2 Prohibited Behavior
- Distributing viruses, malware, spyware, or other malicious code.
- Spamming, sending unsolicited bulk communications, or data mining.
- Impersonating another person, entity, or Grishya representative.
- Attempting to gain unauthorized access to the Platform, other accounts, or connected systems.
- Interfering with the Platform's security, performance, or availability.
- Scraping, crawling, or using automated tools to extract data without prior written permission.
- Using the Platform for any illegal activity.
5.3 General Conduct
- Engage respectfully and responsibly within communities.
- Respect other Users' content and intellectual property.
- Use the Platform for community engagement and content sharing; commercial use requires prior permission.
6. Community Owner Obligations
Community Owners are responsible for the communities they create and manage on the Platform. In addition to the Acceptable Use Policy above, Community Owners agree to the following:
6.1 Content Responsibility
- Owners are responsible for the content published within their communities, including content created by their Members.
- Owners must make reasonable efforts to moderate their communities and address violations of these Terms promptly.
- Owners must not knowingly allow prohibited content to remain in their communities.
- Owners are responsible for the accuracy, legality, and quality of their offerings.
6.2 Member Data
- Owners may access Member information made available through Platform features for the purpose of managing their community.
- Owners must not sell, share, or use Member data for purposes unrelated to their community on the Platform.
- Owners must comply with applicable data protection laws in their interactions with Members.
6.3 Compliance
- Owners must comply with all applicable laws and regulations, including consumer protection, data privacy, and intellectual property laws.
- Owners must cooperate with Grishya in responding to legal requests, content reports, and policy investigations.
- Owners are solely responsible for any tax obligations arising from their use of the Platform.
6.4 Platform Policies Govern
All communities on the Platform are subject to these Terms and Grishya's policies. Community Owners may establish additional guidelines for their communities, but such guidelines must not conflict with or diminish the rights and protections established by these Terms. In the event of a conflict, Grishya's policies prevail.
6.5 Minors and Parental Consent
- Owners must not knowingly permit members under the applicable minimum age to participate without any required parental or guardian consent, and must not target children under thirteen (13).
- Where an Owner enrolls students under thirteen (13) through the Owner's account, the Owner is responsible for obtaining and maintaining any parental or school consent required by law.
- Owners must promptly remove or restrict any under-age participation that does not meet these requirements upon becoming aware of it.
7. Content Moderation and Enforcement
7.1 Right to Monitor
Grishya reserves the right, but has no obligation, to monitor, review, or screen content on the Platform. Grishya does not pre-screen content and is not responsible for content posted by Users. However, Grishya may use automated tools and manual review to identify content that violates these Terms.
7.2 Enforcement Actions
Grishya may, at its sole discretion and without prior notice, take any of the following actions in response to violations of these Terms or applicable law:
- Remove, restrict, or disable access to any content.
- Issue warnings to Users or Community Owners.
- Suspend or terminate User accounts or communities, temporarily or permanently.
- Withhold or suspend payments or payouts.
- Report violations to law enforcement or other authorities as required or permitted by law.
7.3 Reporting
Users may report content that they believe violates these Terms by contacting [email protected]. Grishya will review reports and take appropriate action.
8. Copyright and DMCA
Grishya respects intellectual property rights and responds to notices of alleged copyright infringement in accordance with the Digital Millennium Copyright Act (DMCA) and other applicable laws.
8.1 Filing a Complaint
If you believe that content on the Platform infringes your copyright, please submit a DMCA takedown notice to [email protected] including: (a) identification of the copyrighted work; (b) identification of the infringing material and its location on the Platform; (c) your contact information; (d) a statement of good faith belief; and (e) a statement under penalty of perjury that you are authorized to act on behalf of the copyright owner.
8.2 Counter-Notice
If your content was removed and you believe the removal was in error, you may submit a counter-notice to the same address. Counter-notices must comply with the requirements of the DMCA.
8.3 Repeat Infringers
Grishya will terminate the accounts of Users who are determined to be repeat infringers. Two or more valid DMCA complaints may result in immediate account termination without further warning.
9. Intellectual Property
- Platform IP (software, design, logos, text, graphics) is owned or licensed by Grishya.
- Community Owner content remains the Owner's property; Owners grant Grishya a license to host, display, index, analyze, and share content for Platform operations and service improvement, including processing by third-party services on Grishya's behalf.
- Users are granted a limited, non-transferable license to access content for personal, non-commercial use.
10. User-Generated Content
- Users may submit content within their communities ("User-Generated Content").
- By submitting content, you represent that you have the necessary rights and grant Grishya a non-exclusive, worldwide license to use it solely for operating and improving the Platform.
- Grishya does not endorse or guarantee User-Generated Content and may moderate, restrict, or remove content that violates these Terms.
11. Live Sessions and Offerings
- Some offerings may include live sessions with audio/video interaction.
- Sessions may be recorded for quality or access purposes; consent is assumed where notified.
- Access may depend on subscriptions or permissions.
- Community Owners may reschedule, modify, or cancel sessions; Grishya facilitates but does not control the content.
12. Payments and Subscriptions
Some offerings on the Platform may require payment, including:
- Platform subscriptions for access to community features or additional tools.
- Community Owner offerings within their communities.
All payments on the Platform, including those for Community Owner offerings, are processed securely via third-party payment providers (e.g., Stripe). Grishya is not responsible for issues with third-party payment providers, except as required by law.
Community Owner Payments
- Payments for Community Owner offerings are facilitated through the Platform.
- Each Community Owner sets their own refund and cancellation policy, which is displayed on the respective offering page.
- Grishya is not responsible for Community Owner refund decisions. Any disputes regarding refunds or cancellations should be directed to the relevant Community Owner.
Platform Subscriptions
- Subscriptions may renew automatically unless cancelled according to the terms.
- Refunds, if any, follow Grishya's subscription policy.
Failed Platform Subscription Payments
If a Community Owner's platform subscription payment fails, Grishya will attempt to collect payment again on approximately the third and seventh days following the initial failure and will send an email notice at each attempt. A grace period of at least seven (7) days applies before any change to the Owner's access takes effect.
Effect of Non-Payment on Community Owners
If payment remains uncollected after the grace period, the affected community may be placed in a restricted state. While restricted, the Community Owner may lose the ability to sell new access or enrollments, add new Members, and use administrative or publishing tools. Existing community content remains hosted in a frozen state and is not deleted solely because of a payment lapse.
Member Access During Owner Non-Payment
Members who have already paid for access to a community or offering retain access to that already-purchased content for the remainder of their paid term, regardless of the Community Owner's platform-subscription status. A lapse in an Owner's subscription restricts the Owner's ability to sell and manage the community; it does not, by itself, revoke Members' existing paid access.
Content Retention During Delinquency
A community that remains in a frozen state due to non-payment is preserved for at least sixty (60) days. Grishya will provide at least one deletion notice before permanently removing a frozen community, and an export option will be made available during the preservation window. See Section 13 for additional data-retention and deletion terms.
13. Community Deactivation and Data Retention
Communities may end or become inactive in several ways. This section describes what happens to community content, Member access, and data in each case. Where a Member is entitled to a refund, the Member's recourse is against the Community Owner who received payment, not against Grishya, except as required by law.
13.1 Voluntary Closure by a Community Owner
- Members with an active, paid enrollment are honored through the end of their paid term.
- Responsibility for refunds of unfulfilled offerings rests with the Community Owner who received payment, consistent with Section 12.
- The Community Owner is given an export window of at least thirty (30) days to retrieve their content before deletion.
13.2 Suspension or Termination for Cause
- Grishya may suspend or terminate a community immediately and without appeal for illegal content or other severe violations, including CSAM.
- For less severe violations, Grishya will generally provide notice and a short opportunity to cure before termination.
- When a community is removed for cause, its Members may lose access to that community and its content. This risk is disclosed here so that Members understand access to a community can end due to a Community Owner's violation of these Terms. Any refund recourse is against the Community Owner, not Grishya, except as required by law.
13.3 Community Abandonment
- A community may be treated as inactive if it has no Community Owner login and no active subscription for a continuous period of six (6) to twelve (12) months.
- Grishya may archive or reclaim an inactive community after providing notice to the Community Owner.
- Where feasible, Members' access to already-purchased content is preserved during archival.
13.4 Member Contributions Persist
Content that a Member contributes to a community — including discussion posts, answers, and other shared contributions — may remain part of that community's shared record after the Member leaves or deletes their account, and may be retained in anonymized form or attributed to a former member. The license granted in Sections 9 and 10 for such community contributions survives termination of a Member's account. Personal profile information is handled under Section 13.6.
13.5 Data Export and Portability
- Community Owners may export their own content and the Member data they are permitted to access when they leave the Platform.
- Members may request a copy of their personal data, consistent with applicable data protection laws.
13.6 Deletion and Backups
Following a valid deletion request, personal and account data is removed from live systems within thirty (30) to ninety (90) days. Content contributed to a community may be retained as part of that community's shared record as described in Section 13.4, in anonymized form where appropriate. Residual copies may persist in routine backups until those backups cycle out on Grishya's standard schedule.
14. Disclaimers
THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. GRISHYA DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THESE EXCLUSIONS MAY NOT APPLY TO YOU.
- Grishya is a community platform that enables Community Owners to build private communities where Members can share content, participate in discussions, and engage with offerings.
- The Platform itself does not provide guidance, advice, or personal interpretations; all content, recommendations, and insights are offered directly by Community Owners and Members.
- Every User's experience may differ, and Grishya cannot guarantee specific outcomes or results from engaging with content.
- Community Owners are independent creators and are responsible for the accuracy, legality, and quality of their offerings.
- We encourage Users to explore, connect, and engage responsibly. Any questions, concerns, or disputes regarding content should be addressed directly with the Community Owner, as Grishya's role is facilitating the community rather than providing guidance.
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, GRISHYA AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF (OR INABILITY TO USE) THE PLATFORM.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, GRISHYA'S TOTAL AGGREGATE LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID TO GRISHYA IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED US DOLLARS (US $100).
THE LIMITATIONS IN THIS SECTION REFLECT THE ALLOCATION OF RISK BETWEEN THE PARTIES AND ARE AN ESSENTIAL BASIS OF THE BARGAIN BETWEEN YOU AND GRISHYA. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS OF LIABILITY, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
16. Platform Availability
- Continuous access is not guaranteed.
- Maintenance, updates, or technical failures may cause downtime.
- Grishya is not liable for losses due to unavailability or interruptions.
17. Third-Party Services
- The Platform may integrate third-party tools or external websites.
- Grishya is not responsible for third-party content, policies, or practices.
- Any Personal Data collected by Community Owners within their communities is subject to Grishya's Privacy Policy and applicable laws.
18. Cookies and Tracking
- The Platform may use cookies or similar technologies to enhance user experience.
- Continued use constitutes consent.
19. Feedback
- Feedback is voluntary.
- All rights to feedback are assigned to Grishya for use or commercialization.
20. Indemnification
Users agree to indemnify Grishya, its affiliates, and personnel from claims, losses, damages, or expenses arising from:
- Misuse of the Platform
- Violation of Terms or laws
- Infringement of third-party rights
- Submitted content
21. Force Majeure
Grishya is not liable for delays or failures caused by events beyond reasonable control, including natural disasters, pandemics, or third-party outages. Obligations are suspended during such events.
22. Modifications
- Grishya may update these Terms at any time.
- Updates will be posted with an effective date.
- Continued use constitutes acceptance.
23. Governing Law and Jurisdiction
- These Terms are governed by the laws of the State of Wyoming, USA, without regard to conflict of law principles.
- Disputes are subject to the exclusive jurisdiction of state and federal courts in Wyoming, and you consent to personal jurisdiction therein.
